Welcome to TASQER™, an AI-powered software-as-a-service (SaaS) platform provided by 5K Ignite, LLC ("we," "us," or "our"), a Pennsylvania limited liability company located at 2600 Columbia Avenue, Lancaster, PA 17603. These Terms and Conditions ("Terms") govern your use of TASQER™, including its website (TASQER.com), tools, features, and services (collectively, the "Service"). By creating an account—whether free or paid—and accessing or using the Service, you ("you" or "User") agree to be bound by these Terms in full. If you do not agree, do not sign up or use TASQER™.

TASQER™ provides tools that process information you provide—such as files, text, or other data—by transmitting it to third-party APIs (e.g., OpenAI) to generate outputs like reports, analyses, or other results. Artificial intelligence (AI) is a new and rapidly evolving field, and our tools depend on external systems we don't control. By signing up, you acknowledge and accept that we are not liable for any issues, interruptions, or failures, as detailed below.

To use TASQER™, you must:

• Be at least 18 years old.
• Have the legal authority to enter into these Terms (e.g., for yourself or your business).
• Not be prohibited from using the Service under applicable law.

We may refuse or terminate access to anyone at our sole discretion, with or without cause.

3.1 Account Creation

To use TASQER™, you must create an account with a username and password, whether for a free or paid plan. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security

You are responsible for keeping your login credentials confidential and for all activities under your account. Do not share your credentials. Notify us immediately at hello@tasqer.com if you suspect unauthorized use.

3.3 Subusers

You may create subuser accounts (e.g., for employees) under your primary account. You are fully responsible for their actions and compliance with these Terms.

3.4 Acceptance of Risk

By creating an account—free or paid—you agree that TASQER™ tools may not always work as expected due to the innovative nature of AI and reliance on third-party APIs. We are not liable for any downtime, unavailability, or failure of tools, and you accept this risk fully.

4.1 Credits System

TASQER™ uses a credit-based system. Free accounts receive a limited number of credits upon signup. Paid accounts receive credits based on your subscription plan (e.g., monthly or annual). Credits are consumed by tool usage and API interactions, as determined by us.

4.2 Payment Terms

Paid subscriptions are billed in advance via our third-party payment processor. All fees are in U.S. dollars and non-refundable except as stated in Section 4.3. You are responsible for applicable taxes. Payment processing services are provided by Intuit Payments Inc.

4.3 No Refunds for Credits

If you choose an annual subscription, payment is due upfront, and no refunds will be issued under any circumstances, including if you stop using TASQER™, tools become unavailable, or for any other reason. Monthly plans may have limited refund options, at our discretion, if requested within 30 days via hello@tasqer.com.

4.4 Credit Expiration and Rollover

Unused credits will roll over as long as your account remains active. However, all credits expire immediately upon account cancellation. Annual plan credits expire one year from purchase if not used.

5.1 Acceptable Use

You may use TASQER™ for lawful purposes only. You agree not to:

• Upload or submit illegal, harmful, or infringing content (e.g., copyrighted material without permission).
• Overload, disrupt, or attempt to hack the Service.
• Use the Service to harm others (e.g., spam, malware).

5.2 Tool Availability

TASQER™ tools rely on third-party APIs we do not control. If an API goes down, changes, or fails, the related tool may become unavailable or stop working. We offer no guarantees of uptime, functionality, or availability for any tool. This is a risk you accept by using TASQER™.

5.3 User-Provided Data

You grant us permission to process data you submit (e.g., files, text) and send it to third-party APIs to provide the Service. You are solely responsible for the legality, accuracy, and appropriateness of your data.

6.1 Ownership

You retain ownership of the data you upload or submit ("Your Data"). We do not claim ownership of Your Data.

6.2 Use of Your Data

By using TASQER™, you authorize us to process Your Data and transmit it to third-party APIs as needed to deliver tool functionality. We may store Your Data to provide the Service (e.g., to save files or track usage).

6.3 No Liability for Data

We are not liable for any loss, corruption, or misuse of Your Data caused by third-party APIs, security breaches, or other events beyond our control. You accept this risk by using TASQER™.

6.5 Analytics and Usage Monitoring

We improve our products and advertising by using Microsoft Clarity to see how you use our website. By using our site, you agree that we and Microsoft can collect and use this data. Our Privacy Policy has more details.

7.1 Our Rights

TASQER™, including its software, design, and branding, is owned by 5K Ignite, LLC and protected by copyright, trademark, and other laws. You receive a non-exclusive, non-transferable license to use the Service under these Terms.

7.2 Your Rights

Outputs generated by TASQER™ tools based on Your Data are yours to use, but we retain rights to the underlying technology and processes.

7.3 Feedback

If you provide feedback about TASQER™, we may use it without obligation to you.

8.1 By You

You may stop using TASQER™ by canceling your account via hello@tasqer.com. No refunds will be issued, per Section 4.3, and all credits will expire immediately upon cancellation.

8.2 By Us

We may suspend or terminate your access at our sole discretion, with or without notice, if you violate these Terms, fail to pay, or for any reason. Upon termination, your rights to use TASQER™ end, and credits expire.

8.3 Effect of Termination

We may retain Your Data for a reasonable period post-termination (e.g., for legal purposes) before deleting it.

9.1 "As Is" Service

TASQER™ is provided "as is" and "as available." AI is a new and innovative field that can change rapidly, and our tools depend on third-party APIs beyond our control. We do not guarantee:

• That tools will always work, be available, or produce accurate results.
• Any uptime or functionality for individual tools.
• That the Service will meet your needs or expectations.

9.2 API Dependency

If a tool's API fails, that tool may stop working, and this is a normal risk of using TASQER™. To the fullest extent permitted by law, we disclaim all warranties, express or implied (e.g., merchantability, fitness for a particular purpose).

9.3 Content Accuracy

We do not guarantee the accuracy, completeness, or reliability of any content generated by TASQER™ tools.

9.4 Internet Delays

We are not responsible for delays, delivery failures, or damage resulting from internet issues beyond our control.

9.5 No Professional Advice

TASQER™ provides tools that leverage artificial intelligence to generate outputs, which may include content that resembles business, legal, financial, medical, or other professional advice. However, these outputs:

• Are NOT professional advice of any kind
• Are generated by AI systems without human review
• Should NOT be relied upon for making decisions
• Do NOT create any professional-client relationship
• Should be verified by qualified professionals before taking any action

You acknowledge that using any information obtained through TASQER™ for decision-making is done entirely at your own risk. The Service is no different than if you were working directly with third-party AI systems, and we add no endorsement, verification, or expertise to the outputs generated.

By signing up for TASQER™—whether with a free or paid account—you agree that 5K Ignite, LLC, its affiliates, and their officers, employees, or agents are not liable for anything arising from your use of the Service. This includes, but is not limited to, any direct, indirect, incidental, special, or consequential damages (e.g., lost profits, data loss, business interruption) caused by tool failures, API downtime, data breaches, or any other issue. We bear no responsibility for outcomes beyond our control, and your use of TASQER™ is at your own risk.

You agree to indemnify and hold harmless 5K Ignite, LLC, its affiliates, and their officers, employees, or agents from any claims, losses, or damages (including legal fees) arising from your use of TASQER™, Your Data, or your breach of these Terms.

We may update these Terms at our discretion. We will notify you of significant changes via email or within the Service. Your continued use of TASQER™ after changes take effect means you accept the updated Terms. Check TASQER.com/terms regularly.

13.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

13.2 Mandatory Arbitration

Any dispute arising from these Terms or your use of TASQER™ will be resolved through binding arbitration in Lancaster County, Pennsylvania, under the rules of the American Arbitration Association (AAA). You waive any right to pursue claims in court (except for small claims, if applicable) or as part of a class action. Arbitration costs will be split as determined by the arbitrator.
